Articles of Incorporation

Has anyone seen a copy of the SDCS Articles of Incorporation anywhere? I
have been trying for many months to regain access to our Vanguard
account and keep running into more obstacles. I *think* the only thing
between us and $13k is a copy of the articles of incorporation. That's
what Vanguard seems to indicate anyway. So...anyone seen them? I was
given very little in the handoff.

I'm not sure I've ever seen Articles of Incorporation. They may have been lost to the mists of time when the SDCS.org domain registration lapsed, if they were ever hosted there.

I did save the bylaws, based on our discussions around amending them, and those are currently here:

I would think the state(?) would have a copy of the incorporation and a
copy could be gotten from them. How/where to get 'em, I've no idea, sorry.

Yes, I know how to get them from the state. But that is going to take
more time. I have to snail mail them a request etc. I'm really looking
forward to having this done! Thanks.

I <know> that was in the box of papers delivered to your Accountant.

Yes,
I read (or rather skimmed) through the Articles of Incorporation.

Actually,
After a day of remembering,
I may not have seen the actual <original> Articles of Incorporation,
But evidence that there was likely a re-filing in late 2000's... 2008?
Of course, the SDCS has been around far longer than that, I seem to
remember bank records go only far back as about 2003(?).

I'm working entirely off memory not having seen those papers since
they were given to your bookkeeper and it's not like I tried that hard
to remember all significant dates in the papers...

In any case, I also remember a stack of papers which are the bylaws,
and some signatures.
The signatures and their dates should also be a strong clue of critical date(s)

SDCS was formed in 1974 and incorporated in 1976.

I have called the accountant and asked him to have a look for them. I
have also given him my personal credit card to charge in the meantime
since he has been working with us for nearly a year now and hasn't
collected a dime. I'll have SDCS reimburse once we get access to ou
VanGuard account again.

This seems to be the case. The accountant confirms the articles of
incorporation are not among the paperwork he was given. So I'll have to
get it from the state. That's going to take a couple of weeks, easily. I
was really hoping we were close to wrapping this up. :( I'll have it in
the mail on Monday.
